SPICE CONSTITUTION (Revised September 19, 2008)
ARTICLE I: NAME AND VISION
The name of the organization shall be Supporting Parents in Independent Christian Education (hereafter referred to as SPICE), a non-profit service organization. SPICE is dedicated to providing information, resources, and leadership with a Christ-centered focus for those homeschooling in Grand Junction and Mesa County. SPICE defines homeschooling as the education of children taking place primarily in the home with parents as their instructors.
ARTICLE II: PURPOSE
The purpose of SPICE is to provide support, with a Christian worldview, for parents who are considering, planning to, or are currently educating their children at home. Support shall include services such as (but not limited to): 1) publishing a newsletter, 2) informational packets, 3) conferences/workshops, 4) annual testing, and 5) annual graduation ceremony.
ARTICLE III: BOARD OF DIRECTORS
The Board of Directors for SPICE will consist of men, who are committed to Christian home education, and shall provide oversight and direction of the organization. The Directors shall number at least five (5) as determined by the Board of Directors of SPICE. All Directors must agree to uphold the tenets of this constitution and its included statement of faith by signing the statement of faith. Any Director who does not uphold the tenets of said constitution or in some way brings disrepute on the organization will be expected to step down from this leadership position, or asked to leave by unanimous consent of all other Directors.
Any vacancy occurring in the Board of Directors shall be filled by the affirmative unanimous vote of all the Board of Directors of SPICE. Nominations for any vacancy shall be made by the Board of Directors and submitted to the Board for vote.
A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board. The act of a majority of the Directors present at a meeting at which a quorum is present shall be the act of the Board of Directors.
ARTICLE IV: VOLUNTEERS
SPICE volunteers shall be comprised of homeschooling family members or those who have a vested interest in home education, and are committed to Christian home education. Volunteers shall subscribe to the newsletter and be appointed to represent SPICE in carrying out its purpose. SPICE volunteers will give mental assent to the tenets of this constitution and its included statement of faith prior to beginning their volunteer work. Volunteers who do not uphold the tenets of said constitution or in some way bring disrepute on the organization will step down from their volunteer position or be asked to do so by the Board of Directors.
ARTICLE V: SUBSCRIBERS
Subscribers to the newsletter shall be comprised of homeschooling family members, or those who have a vested interest in home education, who will not be required to sign the statement of faith. Subscriptions will not be allowed to businesses, organizations, or other entities unless specifically authorized on a case by case basis by the board of directors. The subscription will include the monthly newsletter, e-mail updates, and an annual directory of contact information for subscribers. Subscribers will have the choice to be included in the directory. Subscriptions to other than homeschool families will not include the annual directory. The subscription will require a yearly fee in an amount established by the Board of Directors.
Persons who are not subscribers of SPICE are welcome to attend special functions and local and general meetings of the organization, but should conduct themselves thoughtfully in attitude, dress, discipline, etc.
ARTICLE VI: BOARD MEETINGS
The time, date, place, and frequency of board meetings shall be decided by the Board of Directors. Special Meetings of the Board of Directors may be called by or at the request of one-third (1/3) of the Directors. Volunteers and subscribers will attend board meetings by invitation from the Board of Directors as circumstances warrant. There shall also be an annual fall kickoff meeting open to all subscribers and volunteers.
ARTICLE VII: AMENDMENTS
This constitution may be amended, altered, or repealed and a new constitution adopted only by a two-thirds vote of all Directors, if at least two weeks written notice of the changes are mailed to all Directors.
ARTICLE VIII: DISSOLUTION
The organization may be terminated and dissolved at any time upon the unanimous vote of all of the Directors. Upon the Dissolution and Termination of the said Organization, after all liabilities have been settled, the remaining assets shall be distributed in accordance as the Board of Directors may determine. No benefit or assets of the organization shall ever inure to the benefit of any individual Director.
